Terms of Use

Welcome to SimpleWealth Technologies Ltd. (“INVESTI”, “we”, “our”, or “us”).
These Terms of Use (“Terms”) govern your access to and use of our website,
products, services, and platform (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms
and our Privacy Policy.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding
agreement under Mauritius law. The Services are intended for users located in
Mauritius, Africa, and globally.

  • You are not prohibited from using the Services under any applicable law.
  • You are not barred from receiving services under Mauritius or other African laws.
  • You are not barred from receiving services under U.S. law (including OFAC restrictions).

2. Services Overview

INVESTI is a cloud-based platform that enables users to create, test, deploy,
and automate algorithmic trading strategies, including integrations with
U.S., African, and Mauritian-based brokerage APIs.

INVESTI does not provide investment, tax, or legal advice and is not a registered
broker-dealer or investment advisor.

3. Third-Party Brokers and Integrations

INVESTI integrates with third-party broker-dealers such as Interactive Brokers, TradeStation, and others.

  • Trade execution occurs solely through your brokerage account.
  • You are subject to the broker’s agreements, fees, and compliance obligations.
  • INVESTI does not hold customer funds or execute orders directly.

Regulatory Note: Third-party brokers are typically registered with the SEC, FSC,
and are members of FINRA and SIPC.

4. Risk Disclosure

  • Trading involves substantial risk, including loss of principal.
  • Past performance is not indicative of future results.
  • Leverage, derivatives, and complex options strategies can amplify risk.
  • INVESTI is not responsible for execution errors, delays, or platform outages.

CFTC Rule 4.41: Hypothetical or simulated performance results have inherent limitations
and may not reflect actual trading results.

5. Registration and Account Security

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You must notify us immediately of any unauthorized account use.

6. Use of the Platform

You agree to use the Services only for lawful purposes. You may not:

  • Reverse engineer or attempt to derive the platform source code.
  • Transmit malicious software or disrupt system integrity.
  • Circumvent platform limits, restrictions, or API controls.

7. Subscription Plans, Fees, and Payments

  • Some features require paid subscriptions.
  • Fees may be billed monthly or annually in USD, EUR, or MUR.
  • You authorize INVESTI to charge your selected payment method.
  • Access may be suspended for non-payment.

8. Intellectual Property

  • All platform content and technology belong to INVESTI or its licensors.
  • You retain ownership of your strategy logic and uploaded content.
  • You grant INVESTI a non-exclusive, royalty-free license to operate the platform.

9. User-Generated Content

  • You are responsible for compliance with applicable laws and standards.
  • INVESTI may moderate or remove content at its discretion.

10. No Investment Advice

INVESTI is a technology platform only. Nothing on the platform constitutes
investment, legal, or tax advice or a recommendation to buy or sell securities.

11. Regulatory Compliance

  • INVESTI is not registered with the SEC, FSC, FINRA, or CFTC.
  • You are responsible for compliance with securities laws in your jurisdiction.
  • Connected brokers may issue required tax documents such as 1099s.

12. Termination and Suspension

  • INVESTI may suspend or terminate access at any time for violations or legal risk.
  • You may close your account at any time.

13. Limitation of Liability

To the maximum extent permitted by law, INVESTI shall not be liable for
indirect, incidental, or consequential damages, including trading losses
or loss of profits.

Total liability shall not exceed the fees paid to INVESTI in the twelve (12)
months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless INVESTI and its affiliates from any
claims arising from your use of the Services or violation of these Terms.

15. Dispute Resolution and Arbitration

All disputes shall be resolved through binding individual arbitration under
AAA rules. Arbitration shall be governed by Mauritian law.

16. Governing Law

These Terms are governed by the laws of Mauritius.

17. Modifications

INVESTI may update these Terms periodically. Continued use constitutes acceptance
of the revised Terms.

18. Force Majeure

INVESTI is not liable for delays or failures due to events beyond reasonable control.

19. Miscellaneous

  • These Terms constitute the entire agreement.
  • If any provision is unenforceable, remaining provisions remain valid.
  • You may not assign these Terms without our consent.
